Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Managa Digital LTD, a company registered in England and Wales (Companies House number [COMPANY NUMBER]; registered address [REGISTERED ADDRESS]; "InventoryFlo", "we", "us").

By creating an account, accessing, or using the InventoryFlo service (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

InventoryFlo is a cloud-based inventory operations platform. We grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the subscription term, subject to these Terms.

2. Accounts

To use the Service you must create an account. You are responsible for:

• Maintaining the confidentiality of your credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access
• Ensuring users you invite to your organization are authorised and comply with these Terms

You must be at least 18 years old and have the authority to bind the legal entity you represent.

3. Acceptable use

You agree NOT to:

• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, or white-label the Service without our written consent
• Use the Service to store or transmit unlawful, infringing, or harmful content
• Probe, scan, or test the security of the Service without prior written permission
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to compete with or replicate it
• Exceed reasonable rate limits or attempt to circumvent usage quotas
• Use automated means to extract data beyond documented export features

4. Subscriptions, fees and payment

4.1 Plans

The Service is offered on Free and paid subscription plans. Plan features, limits, and pricing are described on our pricing page.

4.2 Billing

Paid plans are billed in advance on a monthly or annual basis through Stripe. By providing payment information you authorise us to charge the recurring fee, plus applicable taxes (VAT, sales tax, GST/HST), until you cancel. Stripe processes all payments; we do not store full card numbers.

4.3 Tax

Prices are exclusive of taxes unless stated. You are responsible for any applicable taxes determined by your billing address.

4.4 Failed payments

If a payment fails, we may suspend access after providing at least 7 days' notice and a reasonable opportunity to update payment details. Data is retained per Section 9.

4.5 Refunds

Fees are non-refundable except where required by law. Annual plans cancelled mid-term receive no pro-rata refund; access continues until the end of the paid period.

4.6 Price changes

We may change pricing with at least 30 days' notice. Changes apply at the next renewal.

5. Your data

5.1 Ownership

You retain all rights, title, and interest in the data you upload to or generate within the Service ("Customer Data").

5.2 Licence to us

You grant us a worldwide, non-exclusive licence to host, process, transmit, display, and create backups of Customer Data solely as necessary to provide the Service.

5.3 Data protection

Where we process personal data on your behalf, our Data Processing Agreement applies and forms part of these Terms by reference.

5.4 Export

You may export Customer Data at any time via the in-app export feature for the duration of your subscription and for 30 days after cancellation.

6. Intellectual property

The Service, including all software, designs, trademarks, and content (excluding Customer Data), is owned by Managa Digital LTD and its licensors. No rights are granted to you except as expressly set out in these Terms.

Feedback you provide may be used by us without obligation or compensation.

7. Third-party services and integrations

The Service may integrate with third-party services (e.g., QuickBooks, Xero, Shopify, Stripe). Your use of those services is governed by their own terms. We are not responsible for third-party services and disclaim liability for issues caused by them.

8. Confidentiality

Each party will protect the other's confidential information using at least the same care it uses for its own, and not less than reasonable care. This obligation survives termination for three years.

9. Term and termination

9.1 Term

These Terms commence when you create an account and continue until terminated as set out below.

9.2 Termination by you

You may cancel your subscription at any time via the in-app billing settings. Cancellation takes effect at the end of the current billing period.

9.3 Termination by us

We may suspend or terminate your access immediately if you breach these Terms materially, fail to pay, or use the Service in a way that creates legal exposure for us. For non-material breaches, we will give 30 days' notice.

9.4 Effect of termination

On termination: (a) your access ends, (b) we retain Customer Data for 30 days during which you may export it, and (c) after 30 days we delete Customer Data except as required by law (e.g., financial records for 7 years).

10. Warranties and disclaimers

We provide the Service "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant the Service will be uninterrupted, error-free, or that it will meet your specific requirements. Inventory data displayed by the Service depends on accurate input by you and your users; we are not responsible for downstream business decisions based on that data.

11. Indemnity

You agree to indemnify, defend, and hold us harmless from claims arising out of (a) your use of the Service in violation of these Terms, (b) Customer Data that infringes third-party rights, or (c) your breach of applicable law.

12. Limitation of liability

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, or business.
• Our total aggregate liability arising out of or related to these Terms or the Service is limited to the greater of (i) £100 or (ii) the fees you paid to us in the 12 months immediately preceding the event giving rise to liability.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

13. Service availability and support

We target 99.5% monthly uptime for paid plans but do not provide a contractual SLA in these Terms. Paid plans receive email support during UK business hours (Monday-Friday, 09:00-18:00 UTC).

Scheduled maintenance windows will be announced at least 48 hours in advance. Emergency maintenance may occur without notice.

14. Changes to these Terms

We may modify these Terms from time to time. Material changes will be notified at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these Terms is subject to the exclusive jurisdiction of the courts of England and Wales, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

16. Miscellaneous

• Entire agreement: these Terms (with the Privacy Policy and DPA where applicable) are the entire agreement between the parties.
• Assignment: you may not assign these Terms without our written consent. We may assign on notice in connection with a merger, acquisition, or sale of assets.
• Severability: if any provision is unenforceable, the remainder remains in effect.
• No waiver: failure to enforce any provision is not a waiver of future enforcement.
• Force majeure: neither party is liable for delays caused by events outside its reasonable control.
• Notices: we may send notices via email to the address on your account; you may send notices to legal@inventoryflo.com.
